Supasite Terms and Conditions
(Terms of Service)

1. Introduction
Welcome to Supasite, an AI-powered phone call summarisation tool for the construction industry. These Terms and Conditions (the "Terms") govern your access to and use of the Supasite service, which is provided by BuildPass Pty Ltd (ACN 652 324 635) ("BuildPass", "we", or "us"). Supasite follows a freemium model, offering free access to core features with the option to upgrade to premium paid tiers for additional functionality (when available). Our platform helps users capture phone calls, transcribe them, and generate written summaries, action items and reminders.
By creating an account or otherwise using Supasite, you agree to be bound by these Terms, as well as our Privacy Policy (which describes how we collect and use your data). If you do not agree, you must not use Supasite.
These Terms form a legally binding agreement between you (an individual or the entity you represent) ("you" or "User") and BuildPass regarding your use of Supasite. Please read them carefully, and pay particular attention to Section 4A (Phone Call Capture and Recording Laws) which sets out important obligations about how you must use the call summarisation features. We may update these Terms from time to time. See Section 13 (Changes to these Terms) for details.
2. Definitions
For clarity in these Terms, we define a few key terms:
- Supasite: The AI-powered phone call summarisation platform (including its website, mobile app, APIs, and all related services and features) operated by BuildPass Pty Ltd.
- User: Any individual or entity that creates an account on or uses Supasite. This includes you and anyone you authorise to use Supasite on your behalf, for example employees if you are using Supasite for a company project.
- Content: All information, data, text, images, audio, transcripts, summaries, or other materials uploaded to, captured by, or generated by Supasite. This includes phone call audio (which is processed transiently and not retained for users), call transcripts, call summaries, action items, reminders, photos (where available), and any other material you input into or receive from the platform.
- AI Features: Functionalities within Supasite that leverage artificial intelligence models, including voice transcription, phone call summarisation, action item extraction, and reminder generation inferred from call content.
- Call Summary Features: The functionalities within Supasite that capture audio from a telephone call you are participating in, transcribe that audio in real time, and generate written outputs from the transcription, including a summary, action items, follow-up suggestions, and reminders. The audio is deleted after transcription. The transcript is retained on our systems to operate the service but is not made available to you. You receive the summary, action items and reminders.
- Action Items and Reminders: Tasks, follow-ups and reminders that may be generated by Supasite from the content of a call (AI-generated) or that you create yourself (user-generated). For example, an AI-generated reminder might be inferred from a call ("remind me tomorrow to call Bob"), or you may create a reminder manually.
- Counterparty: Any other person on a telephone call with you while you are using the Call Summary Features.
- Recording Laws: Any laws that regulate the monitoring, recording, transcription, listening to, observing, communication, publication or sharing of private conversations or telephone calls. Recording Laws include, without limitation:
- Australia: the Telecommunications (Interception and Access) Act 1979 (Cth); the Privacy Act 1988 (Cth) and the Australian Privacy Principles; the Privacy and Other Legislation Amendment Act 2024 (Cth) (including the statutory tort for serious invasions of privacy); the Surveillance Devices Act 2007 (NSW), Surveillance Devices Act 1999 (Vic), Invasion of Privacy Act 1971 (Qld), Surveillance Devices Act 1998 (WA), Surveillance Devices Act 2016 (SA), Listening Devices Act 1991 (Tas), Listening Devices Act 1992 (ACT), Surveillance Devices Act 2007 (NT); the Workplace Surveillance Act 2005 (NSW) and equivalent state and territory workplace surveillance laws.
- United States: the federal Wiretap Act (18 U.S.C. § 2511) and the Electronic Communications Privacy Act; all "two-party" or "all-party" consent state laws, including without limitation those of California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania and Washington; the California Invasion of Privacy Act (CIPA); the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA); the Illinois Biometric Information Privacy Act (BIPA); and any other applicable federal, state or local laws governing call recording, transcription, monitoring or the use or disclosure of personal information arising from a call.
These links are provided for your reference only. BuildPass does not warrant that these links are current or complete, and they do not constitute legal advice. You are responsible for understanding and complying with all Recording Laws applicable to your use of Supasite in your jurisdiction.
- Third-Party Providers: External service providers integrated into Supasite's operations, including AI model providers (OpenAI, Anthropic, Google, xAI), telecommunications and voice infrastructure providers, hosting and infrastructure services, transcription services (such as Deepgram), analytics tools, and others listed in our Privacy Policy.
3. Account Registration and User Responsibilities
3.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to create a Supasite account and use the service. By registering, you represent that you are legally capable of entering into a binding contract. If you are using Supasite on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" in these Terms will refer to that organisation.
3.2 Account Creation
To access most features of Supasite, you need to create a user account. When you sign up, you agree to provide accurate, current, and complete information about yourself as prompted by the registration process (including your name and mobile phone number). Your phone number is verified via a one-time code sent by SMS. You also agree to update your information promptly if it changes, so we can maintain accurate records.
You may optionally provide an email address if you choose to link your Supasite account to a BuildPass account for data syncing or other integrated features. Providing an email is not required to use Supasite.
Accounts are for individual, personal use (or for a single entity). You must not share your account access with others or maintain duplicate accounts. Each user should have their own account. If we later implement a shared login system with BuildPass's other products, we will inform you and may provide options to link accounts, but your use of Supasite will remain subject to these Terms.
3.3 Account Security
You are responsible for maintaining the security of your account and the device used to access it. Because Supasite authenticates you via your verified phone number, you must keep your device secure and must not allow others to use your Supasite account.
If you suspect any unauthorised use of your account or a security breach (including loss or theft of your device), you must notify us immediately at hello@supasite.com.
We are not liable for any loss or damage arising from unauthorised access to your account resulting from your failure to secure your device or account. You may be held liable for losses incurred by us or others due to such unauthorised use.
3.4 User Conduct
By using Supasite, you agree to the following conduct requirements:
- Lawful Use: You will use Supasite only for lawful purposes and in accordance with these Terms. You must comply with all applicable local, state, national, and international laws and regulations while using the service, including all applicable Recording Laws.
- Accurate Input: When using Supasite, you will provide truthful, accurate, and non-misleading information.
- Respectful Behavior: You will not use Supasite to transmit or store any Content that is defamatory, obscene, harassing, threatening, or otherwise objectionable or that violates any person's rights.
- No Unauthorized Access: YYou will not attempt to probe, scan, or test the vulnerability of Supasite or any related system, or breach any security or authentication measures. You will not attempt to gain unauthorised access to other users' accounts or data.
- No Disruption: You will not interfere with or disrupt the integrity or performance of Supasite. This means no introducing malware, worms, or harmful code, and no actions like overloading, flooding, or spamming the platform's infrastructure.
- Personal Data of Others: If you upload personal information of other individuals, or use the Call Summary Features in a way that captures the personal information of other individuals (for example, the voice and contributions of a Counterparty), you must have the proper authority or consent to do so. Section 4A sets out specific obligations relating to phone calls.
- Compliance with Third-Party Terms: Because Supasite integrates third-party services (like AI providers), you agree to comply with any relevant end-user terms required by those services. You also agree not to attempt to extract source code or algorithms from our third-party providers or reverse engineer any part of the AI systems.
4. Acceptable Use of AI Features
Supasite's distinguishing capabilities come from its AI Features, which transcribe phone calls, summarise them, extract action items, and generate reminders. While these tools can greatly enhance efficiency, they also come with usage guidelines to ensure responsible and ethical use:
4.1 AI Technology in Supasite
Supasite integrates with various third-party AI model providers to deliver its intelligent features. These may include services from leading AI technology companies that provide capabilities for text processing, voice transcription, and summarisation.
These providers process data on our behalf when you use AI-powered features. Supasite selects the most appropriate AI services for each task and may use multiple AI technologies in combination to provide optimal results. We regularly evaluate and update the AI services we use to maintain quality and security.
4.2 Prohibited Content and Usage
When using AI Features (or any part of Supasite), you must not input or request content that is illegal, harmful, or violates any rights. This includes, but is not limited to:
- Content that is unlawful, such as instructions to commit crimes or information that would violate export controls or data privacy laws.
- Hate speech or harassment: No prompts or uploads that include slurs or encourage violence or discrimination against any group or individual based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or other protected characteristics.
- Sexually explicit or exploitative content: Do not use the AI to generate pornography, sexually graphic material, or any content involving minors in inappropriate contexts.
- Personal Data and Privacy: Do not ask the AI to produce sensitive personal information about individuals, and do not feed it content that you are not authorised to share. Section 4A sets out specific obligations relating to phone calls.
- Illegal advice: The AI may provide general information but should not be relied on for professional legal, medical, or financial advice.
4.3 No Abuse of AI Systems
You agree not to exploit the AI models in ways that could harm their integrity or security. For instance, you will not attempt prompt injection attacks, try to extract the model's underlying confidential information, or deliberately create outputs to spam, scam, or deceive others.
4.4 AI Output Usage
The content generated by Supasite's AI Features (summaries, action items, reminders) is for your use. You should evaluate and, if necessary, edit AI-generated content before relying on it. You must not use AI outputs in a manner that violates any law or infringes any third-party rights. AI outputs are inferred from the content of your calls and may contain errors. You are responsible for reviewing them before acting on them or sharing them with others.
4.5 Monitoring and Enforcement
We reserve the right to monitor usage of AI Features for compliance with these Terms (using automated filters and/or human review). If we detect content or behaviour that violates the above guidelines, we may take action, including content removal, feature suspension, or account termination as appropriate. We also cooperate with AI providers in enforcing usage restrictions; if they inform us of misuse, we will address it promptly.
In summary, use Supasite's AI as a helpful assistant, not an oracle or a tool for wrongdoing. Treat the AI and other users with respect. Misuse of AI features not only risks your account but could also jeopardize our access to these AI services for all users, so we take these rules seriously.
4A. Phone Call Capture and Recording Laws
This section governs your use of the Call Summary Features. It applies in addition to Section 4 (Acceptable Use of AI Features).
4A.1 What the Call Summary Features Do
When you use the Call Summary Features, Supasite captures the audio of a telephone call you are participating in, transcribes that audio in real time, and generates written outputs (a summary, action items, follow-up suggestions, and reminders). Once the transcript has been generated, the underlying audio is deleted from our systems. The transcript is retained on our systems to operate the service. The summary, action items and reminders are made available to you in your Supasite account. The transcript itself is not made available to you.
You acknowledge that, regardless of the fact that audio is not retained and the transcript is not provided to you, Recording Laws may treat the act of monitoring, transcribing or summarising a private conversation, and the resulting transcript or summary, as a regulated activity. Compliance with Recording Laws is your responsibility.
4A.2 Your Warranties
By using the Call Summary Features, you represent, warrant and agree that, in connection with every call you use Supasite to capture, transcribe or summarise:
(a) You are a participant. You will only use the Call Summary Features on calls in which you, personally, are an active participant.
(b) You have authority. Where you are using Supasite on behalf of an employer or other organisation, you have that organisation's authorisation to do so.
(c) You will give notice and obtain any required consent. Before the call begins, or at the earliest reasonable opportunity, you will inform the Counterparty (and any other participants) that an AI tool is being used to take notes on the call, and you will obtain whatever consent or non-objection is required under applicable Recording Laws. Where Recording Laws require all-party consent, you will obtain it from every party.
(d) You will not use Supasite where it would be unlawful. You will not use the Call Summary Features in any jurisdiction, context or circumstance where doing so would breach Recording Laws or any other applicable law.
(e) You will respect objections. If a Counterparty objects to or withdraws consent to the use of Supasite during a call, you will pause or end the use of the Call Summary Features for that call.
(f) You will comply with workplace surveillance laws. Where your use of Supasite involves monitoring calls of your own employees or workers, you will give them all written notices and any other documentation required by applicable workplace surveillance laws (including the Workplace Surveillance Act 2005 (NSW) and its equivalents in other states and territories). BuildPass may, but is not obliged to, provide you with template notices.
(g) You will not use Supasite for prohibited purposes. You will not use the Call Summary Features for, and will not use the resulting summaries, action items or reminders for: covert recording of consumers, recording of personal or family conversations, building evidence against a Counterparty in a dispute or anticipated dispute (unless you have an independent lawful basis for doing so and have taken your own legal advice), recording calls where you have reason to believe the Counterparty would object, or any other purpose contrary to Recording Laws.
(h) You will handle the resulting Content lawfully. You will not share, publish or further communicate any summary, action item or reminder in a manner that breaches Recording Laws (including the publication and communication offences in state and territory surveillance device legislation), the rights of any party to the call, or the privacy of any individual identifiable from the Content.
4A.3 Permitted and Prohibited Uses
The Call Summary Features are intended for use on business-to-business telephone calls in the course of your construction-industry work, for example between a builder and a subcontractor, supplier, supervisor or site worker, where you are a participant and have given the Counterparty appropriate notice.
The Call Summary Features are not intended for, and you must not use them for: covert surveillance of any kind, calls with consumers in their personal capacity (without specific notice and consent), calls about personal or domestic matters, recording or monitoring of conversations to which you are not a party, or any use prohibited under Section 4 or this Section 4A.
4A.4 BuildPass-Provided Compliance Resources
To assist you in meeting your obligations under this Section 4A, BuildPass may make available a Compliance Toolkit, which may include template counterparty notices, suggested verbal disclosure scripts, contract clauses for inclusion in your subcontractor agreements, employee notice templates, signage, and jurisdiction-specific guidance. These resources are provided as general assistance only and do not constitute legal advice. You remain solely responsible for compliance with Recording Laws as they apply to your specific circumstances. We recommend you take independent legal advice on the use of Supasite in your business.
4A.5 In-Product Consent Prompts
Supasite includes consent reminders and other in-product features (such as a pause button, a transcribing indicator, and a per-call reminder banner) designed to support your compliance with Recording Laws. These features are aids only. They do not relieve you of, and do not represent BuildPass's discharge of, your obligations under this Section 4A. You must not disable, suppress or work around these features in a manner that defeats their purpose.
5. User Content and Intellectual Property
5.1 Your Content
You retain ownership of all Content that you input into Supasite or otherwise upload (including text, photos (where available), and any other materials you provide to the service), and the AI-generated outputs that the AI Features produce specifically for you in connection with your use (for example, a summary, action item or reminder generated from your call). We do not claim ownership over your original content.
However, in order for us to operate Supasite and provide the services, you grant us certain permissions to use your Content. Specifically, by using Supasite and uploading or generating Content, you grant BuildPass (and our service providers acting on our behalf) a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute your Content solely for the purposes of (a) providing and improving Supasite's services to you and other users (for example, processing audio to produce a transcript, transcribing that audio, summarising the transcript, and generating action items and reminders), and (b) any other purpose to which you expressly consent. For the avoidance of doubt, this licence applies to call audio (during transient processing only), call transcripts, call summaries, action items, reminders, and any other AI-generated output derived from your use of the Call Summary Features.
This license to your Content enables, for instance, our transcription and AI providers to process your data under our instructions (as described in the Privacy Policy), and allows us to display your Content back to you in your account or when you share it. We will not use your Content for any marketing purposes or share it with third parties for their own use without your permission.
5.2 Responsibility for Content
You are solely responsible for all Content you upload, submit, or generate using Supasite. This means you must ensure:
- You have all necessary rights to upload the Content and grant the license in Section 5.1. If the Content is not originally yours, you must have permission from the rightful owner to use it in Supasite.
- Your Content (and our use of it as permitted by you) does not infringe or violate any intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
- Your Content complies with these Terms and the law (for example, no prohibited content as outlined in Section 4).
- For Content captured or generated through the Call Summary Features, you have given any required notice to, and obtained any required consent from, every Counterparty in accordance with Section 4A.
We do not generally review User Content before it is processed by the service, but we reserve the right to remove or disable access to any Content that we determine, in our discretion, violates these Terms or is otherwise harmful or unlawful. We are not responsible for any failure or delay in removing such content.
5.3 Supasite Intellectual Property
Except for your Content, all rights, title, and interest in and to Supasite (including all software, code, algorithms, models, text, images, logos, trademarks, and other content or materials created or provided by us) are the property of BuildPass or our licensors. Supasite is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Supasite and its content for your internal business or personal purposes, according to these Terms. You may not (a) copy, modify, distribute, sell, or lease any part of our service or included content, (b) reverse engineer or attempt to extract the source code of our software (except to the extent such restriction is prohibited by law), or (c) remove or obscure any copyright, trademark, or other proprietary notices on Supasite or any output.
"Supasite", "BuildPass", and any associated logos or names are trademarks of BuildPass Pty Ltd. You are not granted any right to use our marks without our prior written permission. You may, however, verbally or in writing identify that you are using Supasite (for example, "This summary was generated using Supasite.").
5.4 Feedback
We welcome feedback, ideas, or suggestions ("Feedback") about Supasite. If you choose to provide Feedback, you agree that we are free to use it without any restriction or compensation to you. By submitting Feedback, you grant us a perpetual, sublicensable license to use and incorporate it into our products or services.
6. Disclaimers and No Professional Advice
Supasite is intended to assist with capturing and summarising phone calls in the construction industry. It is not a substitute for professional judgment or expertise. By using Supasite, you acknowledge and agree to the following disclaimers:
6.1 No Warranty on Accuracy
Supasite and all of its features (including AI outputs) are provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we do not guarantee that the summaries, action items, reminders or other outputs provided by Supasite will be correct, complete, or up-to-date. AI models, in particular, may sometimes produce incorrect or unpredictable results. You should independently verify critical information before acting on it.
6.2 AI Limitations and Fallibility
Despite using state-of-the-art models, AI can and will make mistakes. This could include factual errors in transcription, mishearing of words, misinterpretation of tone or intent, or producing summaries that omit important context. Always review AI-generated outputs.
6.3 Not Professional Advice
Supasite is not licensed to provide engineering, architectural, safety, legal, or contractual advice. Any information or analysis you obtain through Supasite is for general assistance and informational purposes. Always consult qualified professionals for decisions that require expert analysis or certification. Supasite's outputs should be considered supplementary, and you remain responsible for any decisions or actions you take.
6.4 Technical Availability
We strive to keep Supasite up and running smoothly, but we do not warrant that the service will be uninterrupted, timely, secure, or free from errors. Downtime may occur for maintenance, updates, or due to unforeseen technical issues. We will try to give advance notice of significant downtime, but we are not liable for any inconvenience or data loss you may experience due to service interruptions or bugs.
6.5 Third-Party Services
Supasite integrates various third-party services (AI providers, transcription providers, telecommunications providers, hosting). We do not have full control over these services and thus make no guarantees regarding their performance or reliability. While we select reputable partners, we cannot be held liable for issues attributable to third-party outages, errors, or breaches.
6.6 Beta Features
From time to time, we may release beta or experimental features in Supasite (these might be labelled as "beta" or "preview"). Such features are offered "as is" for evaluation and feedback. They may be incomplete or change significantly. Use beta features at your own risk.
6.7 No Legal Advice
Nothing in Supasite, in the BuildPass Compliance Toolkit, in our help materials, or in any communication from BuildPass constitutes legal advice. Recording Laws are complex and vary significantly by jurisdiction and by context. You must obtain your own legal advice as to whether and how you may lawfully use the Call Summary Features in your specific circumstances. Your use of Supasite is at your own risk.
If you are a consumer under certain laws (such as the Australian Consumer Law or other jurisdiction-specific consumer protection laws), you may have statutory rights that cannot be excluded by contract. Nothing in these Terms is intended to exclude or limit any warranty or liability that cannot be excluded by law. To the extent that an implied warranty or right cannot be excluded, our obligation under that warranty is (at our option) to re-supply the services or pay for their re-supply.
7. Limitation of Liability
To the fullest extent permitted by applicable law, BuildPass (including its directors, officers, employees, and agents) will not be liable to you or any third party for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of (or inability to use) Supasite. This includes, without limitation, damages for lost profits, lost savings or revenue, loss or corruption of data, or business interruption, even if we have been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion of certain damages, we limit our liability to the minimum extent permitted by law.
Cap on Liability: To the extent permitted by law, our total aggregate liability to you for all claims arising from or related to the use of Supasite or these Terms will not exceed the greater of (a) AUD $100, and (b) the total amount you have paid us under these Terms in the 12 months immediately prior to the event giving rise to the claim. This limitation applies whether the claim is based on warranty, contract, statute, tort (including negligence), or any other legal theory.
Exceptions: The above limitations and exclusions of liability will not apply to the extent prohibited by law. In particular, nothing in these Terms limits liability for death or personal injury caused by a party's negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
You acknowledge that Supasite is currently provided without charge (as a free service), and this reflects the allocation of risk between us. The limitations of liability in this section are an essential basis of the bargain and will survive and apply even if any limited remedy in these Terms is found to have failed its essential purpose.
8. Indemnification
You agree to indemnify, defend, and hold harmless BuildPass Pty Ltd, its affiliates, and their respective directors, officers, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) that arise from or relate to:
- Your use or misuse of Supasite, including any Content you submit or actions you take on the platform;
- Your breach of any of your warranties under Section 4A.2 (Phone Call Capture and Recording Laws), including any claim brought against the Indemnified Parties by a Counterparty, an employee of yours, or any other third party arising from your use of the Call Summary Features;
- Your violation of these Terms or any policies referenced herein;
- Your violation of any law or regulation (including any Recording Law) or the rights of any third party (for example, infringement of intellectual property or privacy rights by content you provided); or
- Any dispute between you and a third party (such as other users, contractors, project owners, or Counterparties) in connection with your use of Supasite.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defence of that claim). You will not settle any claim that affects the Indemnified Parties without our prior written approval.
This indemnity obligation will survive the termination of your account or these Terms.
9. Suspension and Termination
9.1 Termination by You
You may stop using Supasite at any time. If you wish to delete your account, you can contact us to request account deletion (or use any self-service feature we may provide for account deletion). Terminating your account will typically remove your profile information, and your Content will no longer be accessible through your account. However, see Section 9.4 (Effects of Termination) regarding data that might persist in backups or that other users may have received.
9.2 Suspension or Termination by Us
We reserve the right to suspend or terminate your access to Supasite (or certain features of it) at our discretion, with or without notice, if we reasonably believe: (a) you have violated these Terms or any applicable law (including any Recording Law); (b) you pose a security or performance threat to the platform; (c) you are using the service in a manner that could cause us legal liability or disrupt others' use, including through any apparent breach of your warranties under Section 4A; (d) we have received a credible third-party complaint that your use of the Call Summary Features has breached the privacy rights of a Counterparty; or (e) we need to do so to comply with legal requirements. We will make a reasonable attempt to notify you of the reason for suspension or termination (unless prohibited by law or in cases of urgent security issues).
Additionally, we reserve the right to modify or discontinue the service (or any part of it, including free or paid features) at any time. For paid subscribers, we will make reasonable efforts to provide alternative functionality or appropriate refunds if significant features are removed. If we discontinue the service in its entirety, we will provide advance notice via a notification in the app and, where you have provided an email address, by email, when feasible.
9.3 Termination for Inactivity
If you do not log into your Supasite account or use the service for an extended period (for example, 12 months), we may deem the account "inactive". We reserve the right to terminate inactive accounts to free up resources. Before terminating for inactivity, we will attempt to reach out to you via SMS to your registered phone number (and by email if you have provided one) with a warning and instructions on how to keep the account active.
9.4 Effects of Termination
Upon termination of your account or access, the following will occur:
- Your right to use Supasite will immediately cease. Any licenses granted to you under these Terms will end.
- We may delete or anonymize your personal data and Content from our live databases within a reasonable period, except to the extent we are permitted or required to retain it under applicable law (e.g., for legal compliance or legitimate business purposes like resolving disputes, auditing, or enforcing our agreements).
- Any Content that you shared with others may still be visible to those parties (for example, if you shared a summary with a colleague, that copy remains with them). We are not able to retract or delete data that was already shared or exported from our service.
- Sections of these Terms that by their nature should survive termination will continue to apply. This includes, without limitation, the sections on Disclaimers (6), Limitation of Liability (7), Indemnification (8), Effects of Termination (9.4), Governing Law and Disputes (11), and any licenses you granted to us to use your content.
If your account was terminated or suspended by us and you believe this was done in error, please contact our support to discuss the issue.
10. Third-Party Links and Services
Supasite may contain links or integrations to third-party websites or services that are not owned or controlled by BuildPass. Additionally, some features might allow you to export or share data to third-party platforms.
- No Endorsement: Links to third-party sites or services are provided for convenience only, and their presence does not imply endorsement by us. We do not have control over third-party content, operations, or policies, and we assume no responsibility for them.
- Third-Party Terms: If you choose to visit or use any third-party services, you will be subject to that third party's terms and privacy policy. It is your responsibility to review the terms of any third-party service you access.
- No Liability: BuildPass is not liable for any loss or damage incurred as a result of your dealings with third-party websites or services.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the use of Supasite are governed by and construed in accordance with the laws of the State of Victoria, Australia, and the federal laws of Australia where applicable, without regard to its conflict of law principles.
If you are using Supasite as a consumer in a jurisdiction that mandates the application of that jurisdiction's law, nothing in this section will override those mandatory protections. However, in the absence of such mandated protections, you agree to the above choice of law.
11.2 Jurisdiction
Any legal proceedings arising out of or relating to these Terms or Supasite will be subject to the exclusive jurisdiction of the courts of Victoria, Australia. You and BuildPass consent to the personal jurisdiction of such courts.
11.3 Dispute Resolution
We encourage you to contact us first to resolve any issue informally. In the event of a dispute, claim, or controversy arising out of or relating to these Terms or your use of Supasite, you agree to engage in good faith negotiations with us for at least 30 days to resolve the dispute informally before pursuing formal legal action. Please contact us at hello@supasite.com to initiate a dispute resolution process.
If a resolution cannot be reached informally, and unless prohibited by applicable law, either party may seek to resolve the dispute through the courts as outlined in Section 11.2.
11.4 Injunctive Relief
Notwithstanding the above, nothing in these Terms will prevent either party from seeking immediate injunctive relief or any other equitable remedy available, in order to prevent irreparable harm.
12. Changes to these Terms
BuildPass may revise or update these Terms from time to time. If we make material changes, we will notify you via a notice within the Supasite app and on our website, and by SMS to your registered phone number. Where you have provided an email address, we will also send notice by email. Where the change is material we will give you at least 30 days' advance notice before the updated Terms take effect, except where changes are required sooner by law.
Your continued use of Supasite after any changes to the Terms become effective constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using Supasite and, if applicable, terminate your account.
For clarity, the "Last Updated" date at the top of this document indicates when these Terms were last modified. We encourage you to review the Terms periodically to ensure you understand the conditions that apply to your use of Supasite.
